On Sunday, November 28th, the three directors of CryoCare--Micheal
O'Neal, Charles Platt, and Bruce Waugh--met via a telephone conference
call to elect officers of CryoCare. Charles Platt was elected
president, Ben Best was elected secretary, Brian Wowk was re-elected
vice-president, Kevin Brown was re-elected treasurer, and Randy Smith was
re-elected member services officer.

All votes were unanimous.

This action removed Ben Best as President and restored Charles Platt to
that position.

However the directors passed a formal resolution thanking Ben Best for his
efforts as president during the interim period.

The directors also affirmed the following:

- their support for entering a contract with BioTransport as soon as possible,
- their support for providing assistance to CryoSpan, and
- their support for Ben Best in progressing his work on post-mortem
  and revocable trusts.

The directors also endorsed the continued efforts by Ben Best in
contracting for services with the Cryonics Institute.

CryoCare's by-laws (which are archived at www.cryocare.org) require the
directors to meet to elect officers between two and six months following
an Annual General Meeting at which member director(s) are elected.
However, the bylaws allow the directors to change the date of the meeting
to elect officers, if 80 percent or more of the directors are in favor
of such a change. Because the November 28 election was premature, it was
preceded by a vote to hold it on that date. All directors voted in favor.

This message is being circulated with the knowledge and approval of all
CryoCare directors and officers.
