Clarification of message 18618:

There are currently seven paid members of LES for 2002.  I have checked the 
bylaws and believe that the election of the Board by those members  in 
January was legitimate in every way.  Additional members are welcome.  Dues 
are $20.  If there is a member who is dying to serve on the Board, I'm sure 
we can find a Board member or two willing to resign to make way for energetic 
blood.  Same with Officers, who were elected by the Board. 

Vacancies on the Board are filled by majority vote of the members, provided 
that a quorum (50 percent) of members are present.  Vacancies among officers 
may be filled by a majority vote of the seated Directors, that is, an 
absolute majority. 

The Board can call a special meeting, upon written request of a majority of 
the members, for removal or election of one or more members.
