Subject: Scenario for Election of Alcor Board Members


I am a member of another non-profit organization (a church) that is very 
concerned with "hostile takeovers," as is Alcor.  Yet the church still holds 
elections.  Here is how.


Board (Parish Council) members are elected to staggered three-year terms, with 
one-third of incumbents cycling off the Board each year.  The Board names its 
own successors, SUBJECT TO ratification by 75 percent of the members in good 
standing (there are criteria for membership).  The members do not have the right
to offer alternate candidates.


In most cases the members ratify the new members.  However, in one case they did
not, effectively saying "give us somebody better" (there was a perceived 
conflict of interest).  In that case a vacancy ensued for a year, though it is 
easy to contemplate that the bylaws could provide for a special election in the 
event a member is not ratified.
